Terms of Service

These terms apply to the use of our website, to quotes, offers and agreements of Avonair, and to the use of Avonair Cockpit, unless agreed otherwise in writing.

1. Who Avonair is

  • Avonair is an AI agency established in the Netherlands that digitalises and centralises businesses.
  • Avonair is established at Cruquiuskade 251, 1018AM Amsterdam, Chamber of Commerce 91401283, VAT NL004889881B44.
  • Avonair provides several services: AI Consulting, AI Automation and Avonair Cockpit.
  • Our contact details are at the bottom of these terms.

2. Our services at a high level

  • Avonair Cockpit: a single custom dashboard that brings together a company's separate tools, with a readable AI assistant that answers questions about the company's own data.
  • AI Automation: workflows that take over specific manual tasks, under the control of the client's team.
  • AI Consulting: strategic guidance around AI, without us building anything directly.

A fuller description is available on our website under our services. The exact content, scope and delivery of a project are set out per client in the quote and the agreement.

3. Quotes and agreements

  • Quotes are without obligation and have a validity period stated on the quote, unless indicated otherwise.
  • An agreement is formed when both parties accept a quote or agreement.
  • Changes or additions to the agreed scope are recorded in an additional arrangement before we start them.
  • What is agreed in a specific agreement takes precedence over these terms in the event of any conflict.

4. Per-client contract package

For every collaboration there is one Avonair Cooperation Agreement. It applies to every service (AI Consulting, AI Automation or Avonair Cockpit) and governs how we work: service delivery, privacy and the processing of personal data, security at a high level, payment, ownership and termination. What we concretely deliver is set out per client in the quote: the chosen service, the scope, the architecture, what is and is not used, and the amounts. The quote is leading for the service. We explain the data security and privacy arrangements at a high level in our privacy policy, which also contains the Cockpit-specific sections (sub-processors, OAuth scopes, retention).

5. Specific terms for Avonair Cockpit

The following terms apply additionally when you use Avonair Cockpit.

Avonair Cockpit is a custom business dashboard that brings a company's separate tools and data together on one screen. A Cockpit is composed per client of modules — including overview, social analytics, finance, clients and projects, team and agenda, and an AI assistant. Which modules are active in your Cockpit is set out in the quote. The social module covering YouTube, Instagram and TikTok is universally available and has pre-approved OAuth integrations under Avonair's own developer accounts. Other integrations (such as Gmail, Drive, calendar, accounting or CRM) are activated on request and recorded in the Cooperation Agreement.

Avonair Cockpit only fetches data from sources you connect yourself via OAuth or a comparable secure method, shows data exclusively within your own Cockpit environment to users you authorise, and takes no actions on your connected accounts or systems without an explicit action from you — no posting, no DMs, no automatic changes.

Who may use Avonair Cockpit:

  • Businesses that have a Cockpit agreement with Avonair.
  • Team members of those businesses, added by the admin of the own Cockpit environment.
  • Reviewers and testers from Avonair, Google, Meta or TikTok in the context of app verification and audit.

Your account is personal. You may not share your credentials. If you suspect someone else has access, report this immediately via info@avonair.ai.

When using Avonair Cockpit you may not:

  • Grant other users access via your account without them having their own account.
  • Copy, reverse-engineer, decompile or publicly disclose the software in part, except where mandatory law permits.
  • Use automated requests (scraping, bots) to unnecessarily burden the software or the underlying APIs.
  • Use the software in violation of the terms of the connected providers themselves, or the GDPR or platform guidelines.
  • Bypass or test login attempts or security without written permission from Avonair.

Availability: Avonair Cockpit is an online service. We aim for continuous availability but we may perform maintenance for which we notify in advance where possible, and we are not liable for downtime outside our control, such as outages at connected providers or our sub-processors. The APIs of connected services may change or impose limitations as a result of which (part of) the data is temporarily or permanently no longer available. We do not give an uptime guarantee unless expressly agreed per client in the Avonair Cooperation Agreement.

6. Prices and payment

At a high level, the pricing structure consists of:

  • a one-time setup fee;
  • a fixed monthly fee for hosting, maintenance and support within scope;
  • a token package for AI usage.

More work or new extensions are discussed separately and recorded in advance before we start them. Specific amounts are set out per client in the agreement and not on the website. Invoicing and payment terms are stated in the agreement.

Payment order per service:

  • AI Consulting: paid in advance.
  • AI Automation: partly in advance and partly on delivery.
  • Avonair Cockpit: in line with the Avonair Cooperation Agreement, with the setup fee partly in advance and partly at go-live.

The monthly fee is invoiced monthly in advance, at the start of the calendar month.

7. Client cooperation

For a project to run well we need timely cooperation and accurate information from the client, for example access to the systems to be connected and points of contact within the organisation. Delay arising from this is outside our control.

8. Intellectual property and ownership of data

  • The client is and remains the owner of its own business data. Avonair Cockpit receives this data on the basis of your OAuth consent and keeps a copy for the duration of the connection.
  • The system prompts and client-specific configuration we build for the client are part of the service the client takes. On termination, or on transition to an own or another environment, we hand these over to the client in a usable form, so the client can continue with them internally or with another party.
  • The software and the dashboard itself remain the property of Avonair. For the duration of the agreement the client receives the right to use the delivered solution for its own business, within the agreed scope.
  • Avonair retains the rights to its own underlying methods, generic components and non-client-specific knowledge, and may continue to use these for other clients.
  • Avonair does not use your social data or other module data for advertising, does not sell it and does not use it to train AI models.

9. Liability at a high level

We carry out our services with care. Our liability is limited in the way set out in the per-client agreement, and in any case to what is permitted by mandatory law. We are not liable for indirect damage, such as consequential loss, missed savings or loss resulting from choices the client makes based on information from the service. The AI assistant in Cockpit supports and provides readable answers; the client's team remains responsible for decisions. Avonair gives no guarantee of accuracy, completeness or availability of the data received from connected providers. For direct damage Avonair's total liability is limited to the amount the relevant client has paid for Avonair Cockpit in the twelve months preceding the damage-causing event, with a maximum set out in the per-client Avonair Cooperation Agreement. Nothing in this limitation limits liability for intent, deliberate recklessness or where mandatory law prohibits.

10. No revenue, growth or time guarantee

Our slogan "Let our AI drive the growth of your business" is positioning and a brand line, not a performance commitment. We give no guarantee of revenue, growth or time savings. What we do commit to, we set out concretely in the agreement.

11. Term and termination

The term, notice period and the consequences of termination — including the transfer or deletion of data — are set out per client in the agreement. On termination we cooperate in an orderly wind-down in line with those arrangements. For Avonair Cockpit additionally: you can terminate your use at any time by emailing info@avonair.ai; within 30 days your account data and connected data are deleted in accordance with the privacy policy. Avonair may suspend or terminate a Cockpit account upon serious breach of these terms, after written notice where reasonably possible.

12. Governing law and disputes

Dutch law applies to these terms and to our agreements. We submit disputes to the competent court in the Netherlands, unless agreed otherwise in the agreement.

13. Changes

We may adjust these terms from time to time. The current version is available on our website, and that online version is the governing version, including for an ongoing agreement. This keeps the Avonair Cooperation Agreement and these terms a single whole rather than drifting apart. If we change something that has material consequences for an ongoing collaboration, we notify the client concerned in advance and explain the consequences; in that case the client keeps the termination right from the agreement. Changes without material consequences apply without separate notice.
