Terms and Conditions
Definitions
Avonair: the service provider
Client: the business party purchasing services
Parties: Avonair and Client jointly
Agreement: the contract between the Parties, including quotation, appendices, and amendments
Services: consultancy, automation, data analysis, and related activities
Documentation: all written or digital reports, manuals, models, etc.
Quotes & Agreements
Quotes are non-binding unless otherwise stated, valid for 30 days
Agreement concluded by:
written or digital confirmation (email/portal), or
commencement of performance by Avonair
Additions/amendments must be in writing or by email
Performance of the Service
Avonair performs services to the best of its knowledge and ability, per agreed specifications
Interim reports, planning, and progress coordinated in consultation
Change requests must be written; may affect schedule and/or price
Remuneration & Payment
Payment by direct debit (2nd of the month) or invoice (14-day term)
Direct debit authorization required 14 days before first debit
Late payment: Avonair may suspend service (agreement remains valid)
Collection costs for non-payment borne by Client (per Dutch collection law)
Liability
No liability for indirect damages (consequential, profit loss, reputational damage)
Direct damages limited to invoice amount of the month damage occurs
Client indemnifies Avonair for damages caused by incorrect/incomplete/late information provided
Complaints
Must be submitted in writing with reasons within 5 business days of discovery
Avonair confirms receipt within 5 business days and states handling procedure
Complaints handled as soon as possible, max. 30 days after receipt
Intellectual Property
Documentation rights remain with Avonair, unless agreed otherwise
If transferred, Client gets non-exclusive, worldwide, perpetual right of use for agreed purpose
Avonair retains rights to methods, know-how, models, software, templates, and business information not contractually transferred
Force Majeure & Third Parties
Avonair not liable for shortcomings due to force majeure (war, pandemics, disruptions, fire, unforeseen circumstances)
Deadlines extended in case of force majeure; consultation on continuation, suspension, or cancellation
Avonair may engage third parties if carefully selected and bound by confidentiality/security obligations
Applicable Law & Disputes
Dutch law applies exclusively
Disputes submitted exclusively to court in Avonair’s registered district
Mediation with independent mediator possible before legal action
Amendment of Terms and Conditions
Avonair may amend Terms and Conditions in writing, by email, or via portal
Amendments effective 30 days after publication (unless otherwise stated)
Current Agreements governed by terms in effect at that time, unless Parties agree otherwise
