These Terms of Service apply to all free advisory calls, paid calls, quotes,consulting assignments, and AI development services provided by Avonair.

DEFINITIONS

  • Avonair: the service provider

  • Client: the business party purchasing services

  • Parties: Avonair and Client jointly

  • Agreement: any arrangement about Services, including confirmations sent electronically and any later changes confirmed by Avonair.

  • Services: AI consulting and AI development services, including strategy, audits, workshops, analyses, advice, implementation, technical execution, and development activities where agreed.

  • Deliverables: the agreed results, including reports, summaries, questionnaires, and where applicable technical deliverables such as code, configurations, workflows, models, system components, or AI outputs.

  • Call: an online or remote meeting

  • Free advisory call: a first introductory call with no cost.

  • Paid consulting: a call or project booked through a paid booking method.

  • In writing: any written or electronic communication agreed by both Parties.

APPLICABILITY

These Terms of Service apply to all quotes, calls, Services, and Agreements of Avonair.
Deviations apply only if confirmed in writing by both Parties.
Client terms do not apply unless Avonair accepts them in writing.
If documents conflict, this order applies:
1. Agreement or quote
2. Attachments
3. These Terms of Service

HOW THE AGREEMENT IS FORMED

Paid Services are booked through a booking or payment method provided by Avonair, usually after a free advisory call.

The Agreement is formed when the Client confirms the booking and payment is completed, or when Avonair confirms acceptance in writing.

The Agreement may also be formed verbally during a call if the Client clearly confirms the intention to proceed and this confirmation is recorded or documented by Avonair.

Changes to scope, timing, or deliverables apply only after Avonair confirms them in writing.

HOW WE WORK AND WHAT YOU CAN EXPECT

We provide a best efforts service. We work carefully and professionally, but we do not promise a specific outcome. We communicate with you during the process as agreed.

We deliver deliverables on time provided you deliver required input, feedback, and decisions on time. Delays or rescheduling by you may affect planning, timelines, and costs.

We may use third parties, including AI development partners and sub- processors, when needed. These parties act under contract on behalf of Avonair. Avonair remains your single point of contact and remains responsible for coordination and delivery.

WHAT WE DO NOT PROVIDE

Avonair may provide strategic, operational, business, marketing, budgetary, organizational, and technical recommendations across all areas of a client’s organization. These recommendations are provided as general guidance based on experience, analysis, and AI supported insights.

Avonair is not licensed, certified, or legally authorized to provide advice that is regulated, protected, or reserved by law. This includes, but is not limited to, legal advice, tax advice, regulated financial advice, medical advice, or other forms of advice that require specific professional qualifications or statutory authorization.

Where laws or regulations require advice to be provided by a licensed or qualified professional, the client must obtain such advice independently. Avonair’s services do not replace legally required or regulated professional advice.

Avonair does not guarantee revenue growth, cost savings, market success, regulatory approval, or specific outcomes unless explicitly agreed in writing. Services and recommendations are limited to the agreed scope. Anything outside the agreed scope is not part of the assignment.

CALLS, SCHEDULING, AND NO SHOW RULES

Calls are scheduled through a scheduling method provided by Avonair. Calls are conducted remotely unless agreed otherwise. We wait 5 minutes after the scheduled start time. Free advisory call If you do not show up, you lose the right to book another free advisory call. You may reschedule only if you communicate a valid reason before or at the start time.

Paid consulting and AI development calls If you do not show up, you may reschedule once. A second no show results in forfeiture without refund. Rescheduling is possible up to 24 hours before the start time unless agreed otherwise. If Avonair must reschedule We inform you as soon as possible. We reschedule without additional cost. This does not give a right to a refund.

DELIVERABLES, FORMAT, NO REFUNDS, QUESTIONS AFTER DELIVERY

Deliverables are delivered digitally unless agreed otherwise. Once deliverables are delivered, there is no refund. If something is unclear, we answer questions in an additional call at no cost. Questions can be asked up to 4 weeks after delivery. Additional support requires a new paid assignment.

PRICING AND PAYMENT

Payment is made via the payment method specified by Avonair unless agreed otherwise.

If invoices are used, the payment term is 14 days unless agreed otherwise. In case of late payment, Avonair may suspend or delay Services until full payment has been received.

Payment obligations remain in full. Avonair does not charge interest on late payments. Any reasonable collection or administrative costs incurred to recover outstanding amounts may be charged to the Client where legally permitted.

HOW WE HANDLE DATA

We process only data necessary to deliver the Services. Details about data processing, international transfers, safeguards, and retention periods are described in the privacy statement.

During assignments we may use assignment information, notes, recordings, and transcripts to create deliverables and improve services internally. We may share data with contracted sub-processors, including AI development partners, solely to deliver the Services. Upon request, data is deleted where legally permitted after completion.

USE OF AI TOOLS AND AI DEVELOPMENT

We use various software, systems, platforms, and AI technologies to support consulting, analysis, reporting, and AI development. AI development may involve third party technologies and models. Client data is not used to train generalized AI models unless explicitly agreed in writing. AI output is provided as-is. You are responsible for verification before use or implementation. We do not guarantee accuracy, completeness, or availability of AI output.

RESPONSIBILITY FOR IMPLEMENTATION

You decide if and how advice or AI solutions are implemented. You remain responsible unless we explicitly agree in writing that Avonair will implement a solution.

LIABILITY AND RESULTS

We are not liable for indirect or consequential damage, including loss of profit, loss of data, reputational damage, or business interruption.

We are liable for direct damage only if caused by our own implementation and proven accordingly. This also applies to AI development performed with third party partners.

Total liability is limited to the amount paid in the month the damage arose, capped at the Agreement value. We are not liable for damage caused by incorrect, incomplete, or late information from you. You indemnify Avonair against third party claims arising from your data, instructions, or decisions.

CONFIDENTIALITY

All information shared with us is treated as confidential within Avonair and its contracted sub-processors. Information is used only to deliver Services and improve internal operations. This obligation continues indefinitely, except where disclosure is required by law or information is public.

INTELLECTUAL PROPERTY AND USE OF DELIVERABLES

All intellectual property rights related to Services, AI solutions, models, configurations, code, workflows, prompts, outputs, methods, frameworks, and deliverables remain exclusively with Avonair unless explicitly agreed otherwise in writing.

Client provided data remains your property. You grant Avonair the right to use and process this data to deliver Services. You receive a non exclusive, non transferable license to use deliverables internally for the purpose of the assignment.

You may not resell, publish, or present deliverables as your own product without written permission. Third party technologies remain subject to their own licenses.

COMPLAINTS

Complaints must be submitted in writing within 5 working days after discovery. We handle complaints within 30 days. Complaints do not suspend payment obligations.

TERM AND TERMINATION

Assignments end after delivery unless agreed otherwise. Ongoing engagements can be terminated with one month notice. Early termination requires payment for work performed and costs incurred. Immediate termination is possible for non payment or lack of cooperation.

FORCE MAJEURE

We are not liable for failure due to circumstances beyond our control. Services may be paused during force majeure and aligned afterwards.

PUBLICITY AND TESTIMONIALS

We may use assignments anonymously as cases unless you object in writing. Names, logos, or testimonials are used only with written permission.

LANGUAGE AND PREVAILING VERSION

If versions differ, the English version prevails.

GOVERNING LAW AND DISPUTES

Dutch law applies. Disputes are submitted to the competent court in Amsterdam.

CHANGES TO THESE TERMS

We may change these terms at any time. Changes apply once published and apply to all assignments, including ongoing ones.
